I am a recent graduate and would like to start investing in real estate through private syndication. I have researched LLC's, LLP's, and all sorts of partnerships but cannot find the exact answer I'm looking for. I would like to find and manage these properties and set up private syndication to help finance. If I stay within the SEC exemption rules of less that 35 non-accredited investors can I sell "securities" or somehow allow other investors for private syndication without registering with the SEC through an LLC or do I need to set up separate partnerships for each investment? The securities I have in mind is setting up syndication with different tranches. What do I need to do to stay exempt from SEC registration and which business entity (LLC, LP, LLP, Corporation) would be best?
