Every state has blue sky laws. There is no master list of the laws, although there are commercial publications which contain all of the statutes, and other relevant information. CCH's Blue Sky Reporter is the most used one, but is very expensive.As an alternative, most of the states have their statutes on line, but you will need to visit their web sites to get the statutes. ------------------ This message is general information only, and is not intended as legal advice. Greetings, It is our desire to offer securites through a REG D offering. The provision that disallows general advertising is tricky. Our question is this- If we purchase a data base of "accredited investors" and mail to them is that OK? Rocky Snider IP: Logged |

I was told by many in the industry that the reason state actions are up is that after one state sues a BD, fund cmplex, etc. and gets a large settlement or wins a lawsuit; other states jump on and sue based on their own state's blue sky laws.They have be likened to voltures. I personally think that is a little harsh; and perhaps the better question is whether state securities regulation is even necessary. Isnt it 53 duplicative regimes in place. (same can be said for insurance and banking regulation). Some might argue that certain securities transactions are intrastate and cant be governed by the Fed. But there is plenty of case law out there that says intrastate activities can still have an impact of interstate commerce. To the person who wants to buy a list of accredited investors; don't skimp out on hiring a qualified securities attorney.
