Is there anyone out there knowledgeable regarding if one files a state Form D late (after filing the SEC form D timely within 15 days of the first sale date) if the fine from the state varies at all depending on the number of days late filed, i.e., is it just a flat fine amount for filing late regardless of the # of days late or rather is it a late filing fee that increases as one files later and later?

Any replies would be greatly appreciated....Thanks.
